Terms of Service

These Terms of Service ("Terms") govern your access to and use of Agent DNA Marketplace, operated by Swade Soul ("we", "us", "our"). By creating an account, browsing the site, or purchasing any workflow, plate, agent, bundle, or service ("Materials") you agree to these Terms.
1. Ownership of Code & Materials
All workflows, agent plates, prompts, prompt-as-code, source code, scripts, templates, graphics, designs, copy, audio, video, models, datasets, and any related intellectual property made available through Agent DNA Marketplace (collectively, the "Materials") are owned exclusively by Swade Soul and Agent DNA Marketplace. Nothing in these Terms transfers ownership of the Materials. You receive only the license rights expressly granted below.
2. Paid Commercial License
Upon successful purchase of a paid Material, bundle, or active subscription, we grant you a perpetual, worldwide, non-exclusive, fully commercial license to:
- Use, copy, deploy, host, and run the Materials in your own products and businesses.
- Modify, adapt, fork, white-label, rebrand, and create derivative works from the Materials.
- Incorporate the Materials (or derivatives) into commercial software, services, or content you sell.
- Use the Materials without attribution required.
The paid license is granted per buyer (or per organization for team licenses) and is non-sublicensable except as embedded within your own products or services to your end users.
3. Free Tier & Required Attribution
Materials accessed under the Free tier (any Material made available without payment) are licensed for personal and commercial use with required attribution. Any website, app, product, social post, video, livestream, or other content that uses a Free-tier Material must display visible credit reading:
"Powered by Agent DNA Marketplace — agentmarketplace.diy"
Credit must appear in a reasonably visible location — site footer, About page, app credits screen, or video description. To remove the attribution requirement, upgrade to any paid license for the same Material.
4. Prohibited Uses
- Re-uploading, repackaging, or reselling the Materials as standalone assets on competing marketplaces.
- Using the Materials to train, fine-tune, or distill third-party AI models.
- Unlawful, defamatory, harassing, hateful, or sexually explicit content involving minors.
- Circumventing license keys, vault access controls, or other technical protections.
5. Accounts
You are responsible for activity on your account and for keeping credentials secure.
6. Payments & Refunds
Payments are processed by Stripe. Digital goods are non-refundable once the Material has been downloaded, unlocked, or added to your vault, except where required by applicable law (e.g. the EU 14-day right of withdrawal, which you expressly waive by accessing digital content during that period).
7. DMCA & IP Claims
Send IP infringement notices to legal@agentmarketplace.diy.
8. Disclaimer & Limitation of Liability
The Materials and service are provided "AS IS" without warranties of any kind, express or implied. To the maximum extent permitted by law, our aggregate liability for any claim is limited to the greater of the fees you paid in the twelve (12) months before the claim or USD $100.
9. Governing Law
These Terms are governed by the laws of the State of New York, USA, without regard to conflict of laws principles.
10. Changes
We may update these Terms. Material changes will be announced with 30 days notice. Continued use after the effective date constitutes acceptance.
